Solve4x reserves the right to modify these Terms at any time, and your continued use of the Services constitutes acceptance of any changes.

Solve4x provides managed IT services, cybersecurity solutions, cloud services, backup and disaster recovery, network management, compliance support, help desk services, co-managed IT, digital legacy optimization, and custom development services. Specific service offerings, pricing, and terms are detailed in separate service agreements or quotes provided to you.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information required for service delivery
- Maintain the security of your account credentials and notify us immediately of unauthorized access
- Comply with all applicable laws and regulations in your use of our Services
- Not use our Services for any illegal, harmful, or unauthorized purpose
- Cooperate with our team during service delivery and troubleshooting
- Pay all fees and charges in accordance with your service agreement
4. Payment Terms
Payment terms are specified in your service agreement or quote. Generally:
- Fees are billed monthly or as specified in your agreement
- Payment is due within the timeframe specified on invoices
- Late payments may incur interest or service suspension
- All prices are exclusive of applicable taxes unless stated otherwise
5. Service Level Agreements (SLAs)
Specific service level commitments, including response times, uptime guarantees, and support availability, are detailed in your service agreement. Solve4x strives to meet all SLA commitments but does not guarantee uninterrupted service due to factors beyond our control.
6. Confidentiality and Data Protection
Solve4x maintains strict confidentiality of client information and data. We implement reasonable security measures to protect your data. Our data handling practices are further described in our Privacy Policy, which is incorporated by reference into these Terms.
7. Intellectual Property
All content, software, technology, and intellectual property developed or provided by Solve4x remains our exclusive property unless otherwise agreed in writing. This includes:
- Software code, scripts, and automation tools
- Documentation, guides, and training materials
- Website content, designs, and branding
- Proprietary methodologies and processes
Client-provided data and content remain the property of the client. Solve4x obtains no ownership rights to client data except as necessary to provide services.
8. Limitation of Liability
To the maximum extent permitted by law, Solve4x shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our Services. Our total liability is limited to the fees paid by you for the specific service giving rise to the claim.
9. Indemnification
You agree to indemnify and hold harmless Solve4x, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our Services, violation of these Terms, or infringement of third-party rights.
10. Termination
Either party may terminate the service relationship as follows:
- By either party with written notice as specified in your service agreement
- Immediately by Solve4x for material breach of these Terms
- Immediately by either party in the event of force majeure circumstances
Upon termination, you remain responsible for all fees incurred and must return or destroy any Solve4x property in your possession.
11. SMS Communications
By providing your phone number and opting in to SMS communications, you consent to receive text messages from Solve4x. You may receive the following types of messages:
- Appointment reminders and scheduling confirmations
- Service updates and notifications
- Account notifications and alerts
- Support communications
- Marketing messages (only with your explicit opt-in consent)

12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Oregon, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Oregon, in accordance with the rules of the American Arbitration Association.
13. Force Majeure
Solve4x is not liable for delays or failures in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, government actions, or internet infrastructure failures.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the extent necessary to make it enforceable while preserving its original intent.
15. Entire Agreement
These Terms, together with any service agreements, quotes, and our Privacy Policy, constitute the entire agreement between you and Solve4x regarding the Services. These Terms supersede all prior agreements, communications, and understandings.
